Terms and Conditions
The Tasting Society Marketplace Referral Club is a promotional program created, sponsored, and managed by Indiana On Tap, (herein sometimes referred to as “IOT”). The goal of the Club is to increase membership in the Tasting Society Marketplace by paying existing members or influencers to refer family, friends, acquaintances, and neighbors, to become members of the Tasting Society Marketplace.
Definitions. As used herein, the following words and terms shall have the meanings assigned below.
Club: shall mean the Tasting Society Marketplace Referral Club.
Member: shall refer to an individual who has paid for a one-year membership in the Tasting Society Marketplace.
Influencer: shall refer to an individual who is not a Member, but has been invited and/or accepted to participate in the Tasting Society Marketplace Referral Club and is eligible for referral payment(s).
New Member: shall refer to any individual who pays for an annual membership in the Tasting Society Marketplace, at the regularly scheduled price of $59.95 or with an approved discount in the form of a ‘Coupon Code’ provided directly from IOT to the Participant, New Member, or Influencer, and otherwise meets all requirements of membership (such as being at least 21 years of age) as a result of the referral efforts of a Participant.
Participant: shall refer to an individual who registers as a member of the Tasting Society Marketplace Referral Club, and who performs each of the necessary registration steps on IOT’s ReferralRock.com registration program. All participants must receive final approval from IOT in the form of a “Registration Approved” email from Indiana On Tap in order to become eligible for referral payment(s).
Promotion: shall refer to the Club’s promotional program by and through which the Club offers to pay Participants a $25.00 promotional (referral) fee for each Prospect who becomes a New Member.
Prospect: shall refer to any individual to whom the Participant communicates about the Tasting Society Marketplace with the intention of referring the individual to become a Member.
The Promotion. For each individual referred by a Participant or Influencer who purchases a one-year membership at the regularly scheduled price of $59.95 or via the approved discount in the form of a ‘Coupon Code’ provided directly from IOT, the referring Participant or Influencer will be paid $25.00.
Payment Method and Timing. All payments will be made by Indiana On Tap through Referral Rock via the software program’s integration with PayPal. All referral payments will be made within 48 hours of the New Member’s membership purchase. The Participant or Influencer will be notified of referral payment(s) via an email from service@paypal.com and will be required to take the necessary steps or actions to receive payment via PayPal.
Payment Eligibility. In order to be eligible to receive any $25.00 referral payment(s), the referring Club Participant or Influencer must have registered as a member of the Tasting Society Marketplace Referral Club, been approved by IOT, and completed each of the necessary steps as outlined through IOT’s ReferralRock.com website, in addition to taking the required steps to create or integrate an existing PayPal account in order to receive referral payment(s).
No Agency Relationship; Limitation of Authority. Neither Indiana On Tap, the Tasting Society Marketplace, nor the Tasting Society Marketplace Referral Club grant any authority to the Participant or Influencer to make any representations to any Prospect with respect to any costs, benefits, or terms of membership in the Tasting Society Marketplace other than those listed on the Tasting Society Marketplace web page, located here. Further, the Participant or Influencer shall not have any authority to bind Indiana On Tap, the Club, or the Tasting Society Marketplace in any way, including but not limited to contracts for sale, purchase, or services. The Participant or Influencer shall have no authority to offer Prospects anything other than those membership benefits explicitly stated on the Tasting Society Marketplace web page, located here. Participant or Influencer shall not hold himself/herself out to be an employee, agent, partner, or officer of the Club, Indiana On Tap, or the Tasting Society Marketplace.
Intellectual Property, Trade Name, and Limited Use License. Indiana On Tap, Tasting Society Marketplace, the Tasting Society Marketplace Referral Club, and all associated logos are the intellectual property of IOT. IOT specifically grants each Participant and Influencer a limited right to use the Indiana On Tap, Tasting Society Marketplace, Tasting Society Marketplace Referral Club names, and their associated logos and marks for the purpose of referring New Members via social media platforms such as Facebook, Snapchat, Instagram, and Twitter. No Participant or Influencer shall use any of IOT’s trade names, marks, or intellectual property in any print media, magazine, newspaper, periodical, book, or television forum No Participant or Influencer shall use any of IOT’s trade names, marks, or intellectual property in any way that is obscene, offensive, or misleading, and IOT reserves the right to exclude any Participant or Influencer from use of IOT’s trade names, marks, and intellectual property for any reason whatsoever. IOT, in its sole discretion, shall have the right to determine whether a Participant’s or Influencer’s use of any IOT trade name, mark, or other intellectual property is misleading, offensive, obscene, or otherwise violates this limited use license.
Indemnification. Each Participant or Influencer agrees to indemnify and hold IOT and its associated subsidiaries, officers, and owners harmless from and against any claims that arise as a result of Participant’s or Influencer’s negligence, including negligent or unauthorized use of any IOT trade name, mark, or intellectual property, and further including any false or unauthorized promises, statements, or commitments made by said Participant or Influencer.
No Right to Reimbursement. Participant shall not be entitled to reimbursement from Indiana On Tap, the Club, or the Tasting Society Marketplace for any costs or expenses incurred by Participant as a result of Participant’s activities and efforts in furtherance of his/her goal to refer New Members.
Terms Subject to Change. Indiana On Tap, the Club, and the Tasting Society Marketplace specifically reserve the right to alter or amend the terms of the Promotion, or to cancel the Promotion at any time. In the event of any such alteration, amendment, or cancellation of the Promotion, the Club will post notice of such alteration, amendment, or cancellation, or a web link to thereto, on the web page for the Club here. In the event that an alteration, amendment, or cancellation occurs, Participants and Influencers will be paid for any outstanding referral payment(s) still owed.
Not an employment relationship. Participant understands and agrees that participation in the Program does not create an employer – employee relationship between Participant or Influencer and Indiana On Tap. Indiana On Tap makes no offer of employment as a result of, or stemming from participation in the Program.
Taxes. Participant or Influencer is solely responsible for payment of any and all applicable taxes which may become due as a result of money paid to Participant for participation in the Program. Indiana On Tap will not withhold taxes from payments made to Participant or Influencer as a result of Participant’s or Influencer’s participation in the Program.
Limitation of Liability. Participant or Influencer understands and agrees that Indiana On Tap, the Club, the Tasting Society Marketplace, and their affiliates, and subsidiaries shall not be liable to Participant or Influencer for any special, consequential, indirect, or punitive damages as a result of Participant’s or Influencer’s participation in the Promotion.
Choice of Law. In the event that any dispute arises between Participant or Influencer and Indiana On Tap as a result of Participant’s or Influencer’s participation in the Program, Participant or Influencer understands and agrees that such dispute will be governed by Indiana law. Further, Participant or Influencer and Indiana On Tap agree that any legal proceedings between them shall be filed in, and the parties agree to the exclusive jurisdiction of either the state courts sitting in Marion County, Indiana or the United States District Court for the Southern District of Indiana, in Indianapolis.
Severability. In the event that any portion of these Terms and Conditions is challenged, or is found by a court of competent jurisdiction to be illegal or invalid, then such portion of the Terms and Conditions shall be stricken and the remainder of the Terms and Conditions shall be fully enforceable
Right to Exclude. Indiana On Tap, the Club, and the Tasting Society Marketplace reserve the right to exclude any individual, Member, or Influencer from participation in the Promotion for any reason, at any time.
Titles and Headings for Convenience Only. The bolded and underlined section titles and headings contained herein are for the sake of convenience only and are not substantive.
Acceptance and Acknowledgement of Terms. Participant or Influencer acknowledges that he/she has read these Terms and Conditions, understands that these Terms and Conditions govern Participant’s or Influencer’s participation in the Promotion, and agrees to be bound by these Terms and Conditions for as long as Participant or Influencer participates in the Promotion.
